Welcome to jurniti ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website at https://jurniti.com and the services we provide (collectively, the "Service"). By using the Service, you agree to these Terms.
1. Description of the Service
jurniti is an AI Growth Agent for SaaS and subscription businesses. As described in our README and PRD, the Service analyzes your business metrics, identifies your weekly growth bottleneck (Acquire, Retain, or Monetize), and delivers AI memos and playbooks. Paid plans unlock automations (e.g., failed payment recovery), upsell recommendations, and attribution reporting. For additional context, see docs such as docs/v0/PRD.md, docs/REPORTS.md, and docs/PRICING.md.
2. Accounts and Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3. Subscriptions, Pricing, and Billing
3.1 Billing Cadence. We offer Monthly and Annual subscriptions. Monthly subscriptions renew each month on the calendar day of your initial purchase; Annual subscriptions renew on the annual anniversary of your initial purchase. Unless canceled before the renewal date, your plan will automatically renew for the same term.
3.2 Cancellations and Renewals. You can cancel at any time from your account settings. For Monthly subscriptions, cancellation takes effect at the end of the current billing period and you will retain access until then. For Annual subscriptions, cancellation prevents the next annual renewal; access continues through the end of the paid term.
3.3 Proration and Plan Changes. Upgrades on Monthly plans may be prorated and take effect immediately. Downgrades take effect at the next renewal. For Annual plans, upgrades may be charged a prorated amount for the remainder of the term; downgrades take effect at the next annual renewal.
3.4 One-Time Audit Purchases. "Audit — Standard" and "Audit — Pro" are one-time purchases. Delivery is typically within 3 business days from receipt of required inputs. Once an audit is delivered, fees are non‑refundable. If you believe there is a material error in the audit, contact support@jurniti.com within 7 days and we will review in good faith.
3.5 Performance Fee. Certain plans include a performance fee that is a percentage of monthly recurring revenue (MRR) "added or recovered" as measured by the Service. Added/recovered MRR attribution is based on actions taken by the agent and linked events and invoices (see docs/REPORTS.md). Unless otherwise specified, measurement is calculated on a monthly reporting window and fees are charged in arrears at the end of each month. If you believe a reported figure is inaccurate, you must notify us within 14 days of the report; after that window, the report is deemed accepted.
3.6 Payments. Payments are processed by third-party providers such as Stripe. By subscribing or purchasing, you authorize us and our payment processors to charge your selected payment method for all fees, taxes, and applicable performance fees. Taxes may apply based on your location.
4. Trials, Cancellations, and Refunds
We may offer trials or introductory offers from time to time. You can cancel your subscription at any time, effective at the end of the current billing period. Unless required by law, fees are non-refundable. If you believe a charge is in error, contact us at support@jurniti.com.
5. Acceptable Use
You agree not to misuse the Service, including by: (a) violating applicable laws; (b) attempting to access or probe non-public areas of the Service; (c) interfering with or disrupting the integrity or performance of the Service; (d) reverse engineering or copying Service components except as permitted by law; or (e) using the Service to process unlawful data.
6. Data and Privacy
Our collection and use of personal data is described in our Privacy Policy available at https://jurniti.com/privacy-policy. Operational details about event collection and analysis are outlined in docs such as docs/PIXEL.md and docs/SYSTEM_FLOW.md. When you connect Stripe, you grant us access to read billing objects (e.g., customers, subscriptions, invoices, payments) necessary to compute metrics, attribution, and reports. You can revoke access at any time by disconnecting; upon disconnect we disable further data pulls and schedule token deletion.
7. Intellectual Property
We and our licensors own the Service and its contents, including software, models, reports, and branding. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. Output reports and insights generated for your account may be used by you internally; however, you may not resell or publicly distribute our proprietary content or materials.
8. Third-Party Services
The Service integrates with third parties (e.g., Stripe, Mailgun). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not guarantee specific business or revenue outcomes. Guidance in our docs, including docs/PROFITWELL_MONEY_MODEL.md and docs/PRICING.md, is for informational purposes.
10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.
11. Price Changes and Modifications
We may change prices and plan features prospectively. For subscription price changes, we will provide notice in advance of your next billing cycle. We may update these Terms to reflect operational, legal, or regulatory changes. When we do, we will update the "Last Updated" date above and, where appropriate, provide additional notice (e.g., email or in-app). Continued use of the Service after changes become effective constitutes acceptance.
12. Governing Law
These Terms are governed by the laws applicable to our place of organization, without regard to conflict of law principles. Venue and jurisdiction will be in the courts of that location, unless otherwise required by applicable law.
